T123 Matter intake and conflict sheet
Matter intake and conflict sheet

The facts Ashcombe Varley LLP needs from Solenne Foods before a conflict check can run, listed party by party for the Solenne acquisition of Corran Mill Bakery and for the second Solenne matter, a supplier agreement. Prepared by the matter intake coordinator at Ashcombe Varley LLP for Solenne's general counsel and for Henrik Dahlberg, chief financial officer. Imogen Varley, partner, decides every conflict outcome and accepts or declines each engagement. Darius Okonkwo, matter manager, keeps the intake queue. Status on Monday, September 28, 2026; issued Thursday, October 1, 2026.
Sample template: the firm, people, clients and figures are fictional.
Parties at a glance
The acquisition intake opened on Aug 20 listed 11 parties and entities. Nine were conflict-ready on the first pass. Two were incomplete because the seller, Corran Mill Bakery, has two affiliates that the intake did not name.

The same measure as one number, which is the figure the conflicts clerk reads first on every new intake:

Two matters on intake
Solenne Foods has two matters open with the firm. Each one moves through the same four visible statuses: intake received, facts incomplete, conflict review, engagement approved or declined.
| Matter | Opened | Status on Sep 28 | Facts still missing | Owner | Next date |
|---|---|---|---|---|---|
| Solenne acquisition of Corran Mill Bakery | Aug 20 | None. The two seller affiliates were added after the first pass | Darius Okonkwo | Closed on Aug 26 | |
| Solenne supplier agreement | Sep 24 | 3, including the counterparty legal name | Darius Okonkwo | Facts due Oct 6 |
The supplier agreement intake is where this sheet earns its place. It is 4 days old and cannot go to conflict review until Henrik sends the three missing facts.
Parties and entities in the acquisition intake
Every row below has a legal name, a role in the deal and the facts the conflict check needs. Roles are named instead of people where the intake holds no named person.
| No. | Party or entity | Role in the matter | Facts the check needs | Status |
|---|---|---|---|---|
| 1 | Solenne Foods | Client and buyer | Legal name, jurisdiction, registered number, parent | |
| 2 | Solenne acquisition subsidiary | Buyer's acquiring entity | Legal name, jurisdiction, registered number, parent | |
| 3 | Corran Mill Bakery | Seller and target | Legal name, jurisdiction, registered number, parent | |
| 4 | Majority shareholder of the seller | Selling shareholder | Legal name, controlling individuals, other holdings | |
| 5 | Minority shareholder of the seller | Selling shareholder | Legal name, other holdings | |
| 6 | Solenne lender | Provider of the financing | Legal name, jurisdiction, lending entity | |
| 7 | Landlord of the first bakery site | Lease counterparty | Legal name, registered number, parent | |
| 8 | Landlord of the second bakery site | Lease counterparty | Legal name, registered number, parent | |
| 9 | Landlord of the third bakery site | Lease counterparty | Legal name, registered number, parent | |
| 10 | First seller affiliate | Related company of the seller | Legal name, jurisdiction, relationship to the seller | |
| 11 | Second seller affiliate | Related company of the seller | Legal name, jurisdiction, relationship to the seller |
The seller has two affiliates the intake did not list
Rows 10 and 11 were not on the intake form. An associate found both while reading a lease for one of the bakery sites, and the conflict review had to be reopened to cover them. The review took 4 business days in all, and Imogen Varley accepted the engagement on Aug 26 once both affiliates were checked.
What changes on the next intake. Solenne names every company related to the other side, and every company that appears in a lease, a surety or a loan document, before the form is marked complete. A party list that names a company by trading name only does not go to review.
What counts as a conflict-ready fact
A fact counts as supplied only when it arrives with its source document. A name in an email body is a lead, not a fact.
From listed to conflict-ready
The chart shows how the 11 parties and entities became 9 conflict-ready on the first pass, with the 2 seller affiliates shown as the gap.

A conflict check is only as good as the list it starts from. I decide the outcome, and I can only decide it on legal names.

How to use this template
Open one sheet for each new matter, list every party, entity and affiliate with its role, and mark each one conflict-ready or incomplete before the conflict review starts. Name every missing fact, its owner and its date.
| Variable | Meaning | Required |
|---|---|---|
{{matter.name}} | Name of the matter on intake | Required |
{{client.name}} | Client that supplies the facts | Required |
{{intake.opened_date}} | Date the intake was received | Required |
{{party.rows}} | Each party or entity with role, facts needed and conflict-ready status | Required |
{{party.missing_facts}} | Facts still missing for each party, with owner and date | Required |
{{conflict.review_days}} | Business days the conflict review took | Optional |
{{engagement.decision}} | Conflict outcome and engagement decision, with the lawyer and date | Required |
If a required value is missing, show Needs review in its place and hold the sheet; never guess a name, a number or an outcome. If the matter record cannot be read, show Unavailable instead of the counts.
